Welcome to Captionify. By accessing or using our audio transcription service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our service.

These Terms constitute a legally binding agreement between you and Captionify ("we," "us," or "our").

2. Description of Service

Captionify provides an AI-powered audio transcription service that allows users to:

• Upload audio files for transcription
• Receive accurate text transcriptions
• Edit and export transcriptions
• Manage transcription projects
• Access usage analytics and history

We reserve the right to modify, suspend, or discontinue any aspect of the service at any time.

3. Account Registration

3.1 Account Creation

To use Captionify, you must:

• Be at least 13 years of age
• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access

3.2 Account Responsibility

You are responsible for all activities that occur under your account. You agree to keep your password confidential and not share your account with others.

4. Subscription Plans and Billing

4.1 Subscription Tiers

We offer multiple subscription plans:

• Starter: 1 hour/month with daily limits
• Growth: 5 hours/month
• Pro: 20 hours/month
• Business: 100 hours/month

4.2 Billing

• Subscriptions are billed monthly in advance
• Payments are processed securely through Dodo Payments
• You authorize us to charge your payment method automatically
• Failed payments may result in service suspension

4.3 Upgrades and Downgrades

Upgrades:

• Before 15th of month: Full price charged immediately
• After 15th of month: 50% discount on price difference
• New limits apply immediately

Downgrades:

• Take effect at the end of current billing period
• No refunds for unused time
• Can be cancelled before effective date

4.4 Cancellation

• You may cancel your subscription at any time
• Cancellation takes effect at the end of the billing period
• You retain access until the period ends
• No refunds for partial months

4.5 Refund Policy

We do not offer refunds except as required by law or at our sole discretion. If you believe you were charged in error, contact us within 7 days.

5. Usage Limits and Fair Use

5.1 Monthly Limits

Each plan includes a monthly transcription limit. Exceeding your limit may result in:

• Service suspension until next billing cycle
• Additional charges for extra usage (where applicable)
• Requirement to upgrade to a higher plan

5.2 Fair Use Policy

You agree not to:

• Use the service for illegal purposes
• Upload copyrighted content without permission
• Attempt to reverse engineer or copy our technology
• Share your account with multiple users
• Use automated tools to abuse the service
• Resell or redistribute our service

6. Content and Intellectual Property

6.1 Your Content

You retain all rights to the audio files and transcriptions you create. By using our service, you grant us a limited license to:

• Process your audio files for transcription
• Store your transcriptions on our servers
• Display your content back to you

We do not claim ownership of your content and will not use it for any purpose other than providing the service.

6.2 Our Intellectual Property

The Captionify service, including all software, designs, text, graphics, and trademarks, is owned by us and protected by intellectual property laws. You may not:

• Copy, modify, or distribute our software
• Use our trademarks without permission
• Create derivative works based on our service

7. Accuracy and Limitations

7.1 Transcription Accuracy

While we strive for high accuracy, AI transcription is not perfect. Accuracy depends on:

• Audio quality and clarity
• Speaker accents and pronunciation
• Background noise levels
• Technical terminology and jargon

We recommend reviewing and editing transcriptions for critical use cases.

7.2 Service Availability

We aim for 99.9% uptime but cannot guarantee uninterrupted service. We are not liable for service interruptions due to maintenance, technical issues, or circumstances beyond our control.

8. Privacy and Data Security

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

• We use encryption to protect your data
• We do not sell your personal information
• You can delete your account and data at any time

9. Prohibited Uses

You may not use Captionify to:

• Violate any laws or regulations
• Infringe on intellectual property rights

• Harass, threaten, or harm others
• Impersonate another person or entity
• Collect user data without consent
• Interfere with service operation
• Bypass security measures

Violation of these terms may result in immediate account termination.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or reliability
• Uninterrupted or error-free operation

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAPTIONIFY SHALL NOT BE LIABLE FOR:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Service interruptions or data loss
• Third-party actions or content

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Captionify from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the service
• Your violation of these Terms
• Your violation of any rights of another party
• Content you upload or create

13. Termination

You may terminate your account at any time through your account settings or by contacting us.

We may suspend or terminate your account if you:

• Engage in fraudulent activity
• Fail to pay subscription fees

13.3 Effect of Termination

Upon termination, your access to the service will cease, and we may delete your data after 30 days. You remain responsible for any outstanding fees.
